Interplay counters Bethesda's claims with quotes from Bethesda's statements

The Vault has received new court documents in the ongoing Bethesda vs. Interplay legal battle over the rights to Fallout Online and the Fallout franchise itself. The January 7 filing is Interplay’s response to Bethesda’s recent claims that Interplay was only licensed the Fallout name for use in its Fallout MMO, and not any other elements derived from the Fallout games, including its amended counter-lawsuit against Bethesda.

Interplay's lawyer Jeffrey Gersh states that Bethesda’s allegations are “absurd” for a number of reasons, based on both the agreements themselves, and... quotes from statements by Bethesda Softworks executives. More details in the sections below.

Interestingly, Interplay also claims that Bethesda violated the TLA by attempting to “grant another party Interplay’s rights” regarding the Fallout MMO. No further details are given.

In June 2004, Interplay originally only licensed the rights to develop three Fallout games to Bethesda, while keeping the ownership of the franchise and retaining rights to develop a Fallout MMO, based on the Exclusive Licensing Agreement (ELA). Bethesda only purchased the rights to the franchise as a whole for $5.75 million in 2007 by entering into the Asset Purchase Agreement (APA), at the same time licensing the rights to develop and publish the Fallout MMO to Interplay via the Trademark License Agreement (TLA).

Based on the terms of the original 2004 ELA, Interplay was allowed to create a massively multiplayer online game using the name “Fallout” and based on elements of the pre-existing Fallout games created by Interplay, but not on any material created by or for Bethesda. However, the ELA was later superseded by the APA and TLA, the latter of which only vaguely states that Interplay can use the trademark “Fallout” to create a Fallout-branded MMOG. Because of that, Bethesda currently claims that starting with 2007, Interplay had no rights whatsoever to use any assets other than theFallout name itself, such as characters, locations, storylines etc. from previous Fallout games.

According to Interplay, Bethesda’s claim that it licensed the rights only to use the Fallout trademark “in connection with a massively multiplayer online game” is incorrect, as the TLA specifies that it is to be used not just with any game, but with “its FALLOUT-branded MMOG... and for no other purpose”, while Bethesda’s current interpretation is that Interplay was to create a MMORPG under the Fallout name, but not related in any way to the Fallout brand. If Interplay were required to “divorce the trademark from the source of its good will, which stems from its reputation related to a particular and unique post-apocalyptic game world”, Interplay would be denied the benefits of using the trademark at all.

It was not the parties' intent that Interplay create, for example, an online baseball game or poker game called 'Fallout.'

While the meaning of “Fallout-branded MMOG” is not clearly defined in the APA and TLA, Interplay states that it is clear that “Fallout brand” and “Fallout trademark”, as parts of the Fallout intellectual property, are two separate concepts, and are not used synonymously. E.g. the APA refers “to the brand and interactive entertainment software property known as "FALLOUT" and to the "FALLOUT" trademark”. According to Interplay, it is a distinction that arose in the 2004 Exclusive Licensing Agreement.

Given that the term “Fallout-branded MMOG” is not specifically defined in the APA nor TLA, Interplay states that the definition provided in the ELA should carry over. While APA states that it shall supersede the ELA, it still mentions that “in the event of a conflict of meaning, the terms of [the APA] shall control” over those of the ELA, which would mean that ELA is not superseded in its entirety, but only when the two agreements are in conflict. According to the filing, it “shows the parties’ intent to harmonize their Agreements”. If a term is defined in both APA and ELA then the APA shall control. However, if “Fallout-branded MMOG” is left undefined in the new agreements, “the parties would continue to rely definitionally on the ELA”, which, as stated by Interplay, “is the only expression of intent with regard to the content of a Fallout-branded MMOG”.

While Interplay does not claim that ELA is the source of any of its current rights, it merely defines “otherwise undefined terms within the framework of the transactions that followed”. Interplay also asked to be given an opportunity to "present evidence to show the parties' intent with regard to the meaning of the term 'Fallout-branded MMOG,'" to the court.


2007 Trademark License AgreementEdit

Additionally, Section 3.4 Trademark Licensing Agreement also contains a detailed accounting of elements of the Fallout-branded MMOG that Interplay would be able to continue to use if it were not to satisfy the conditions of the license or if it was terminated for some reason before the release of the game (referred to as “Interplay-derived MMOG Elements”). These elements are ones that:

do not use, incorporate, trade on or otherwise exploit any Fallout-related intellectual property created by Interplay or by Bethesda or by their respective parents, subsidiaries, affiliates, successors or assigns, including without limitation any Fallout artwork, locations, graphic representations, story lines, creatures, monsters, names, likenesses, behaviors, environments (e.g., vaults), universes, settings, legends, characters, character classes, character professions, packaging, advertisements, text and translations, and any and all Fallout proprietary characters, trademarks, copyrights and artwork listed in Exhibit C-2 to the APA.

If Interplay did not have any rights to use any elements of the Fallout intellectual property aside from the name itself, there would be no reason to define “Interplay-derived MMOG Elements”, as all elements of the game would be Interplay-derived. There would be no reason to list in such detail elements of the Fallout-branded MMOG that Interplay would not be allowed to use if the TLA was terminated.

Section 9.3.4 of the agreement is also allegedly in conflict with Bethesda’s interpretation, as it requires Interplay to “wind down the operation of the Fallout MMOG” if TLA is terminated after the launch of the game and to cancel all user agreements. However, there would be no need for that if all Interplay was required to do for the game to cease being a Fallout game was changing the game’s name.

Bethesda itself, in its original complaint over a year ago (in September 2009) and subsequent court filings and statements, never alleged that Interplay could not use any elements of the Fallout brand, only claiming that Interplay’s continued development of the game violated the previously mentioned section 3.4 of the TLA, as a result of the agreement being terminated due to Interplay allegedly not fulfilling the financial requirements set forth in the agreement.

For example, J. Griffin Lesher, Executive Vice President for Legal Affairs of ZeniMax Media, stated that:

Upon information and belief, the name “Project V13” is a reference to “Vault 13,” which is both the starting location and the initial working title of the original Fallout game, indicating that Project V13” is based on the Fallout-related intellectual property elements in violation of Section 3.4 of the TLA”

Bethesda also claimed that it needed preliminary relief against Interplay because Interplay was using Fallout elements, violating Section 3.4, and because “five years down the road when [Interplay] has finished the game”, it would not be able to “simply flick a switch and suddenly have a non-violative game,” which would not be a concern if Interplay were not allowed to use any Fallout elements aside from the title itself in the first place. Therefore, even Bethesda's own statements prior to the most recent filings assume that Interplay did have the right to use the Fallout setting, even if they also claim that that right has been terminated.

  • Bethesda, frankly, is being a bully. 'you can make a Fallout MMO but you can't use anything Fallout-related'? That's like being told to build an airplane without wings and a propeller. Bethesda, you have lost a *lot* of credibility in my eyes.

    • If I were the lawyer for Bethesda, I would be a bully too. Interplay sold the rights to fallout, just not the "logo". They can use the logo, but not anything that bethesda created for it's new version of the wasteland. It's interplay that sold out, and it's interplay that didn't read the entire contract before signing it apparently. It seems like they wanted to hold onto what little of the fallout brand they could, thus not looking like they are sellouts and totally lost to the new world of Bethesda. I don't think they want to admit that bethesda took that game, made it multiplatform, and won game of the year, when they were struggling from the beginning. Did you see the early start menu from Fallout 3? It looks like a little kid's game..

  • Who trusts Interplay? I mean half the games they make don't even come out, they sold fallout to bethesda, bethesda bought the rights and made their own games they let interplay make their "cough" shitty MMO. I know I'm being harsh on Interplay, but they signed up for it, they specifically were almost ordered to start their MMO, what did they do, they just stood there with their thumbs up their arses for four years figuring out what to do. I mean if you were bethesda what would you do? I mean they bought the license and expected interplay to at least start in the four years timeframe. I'm starting to think that interplay sold fallout for not only cash but to rip off Bethesda, Fallout 3 earned recognition from people all over, it became the most talked game in 2008-9. Beth. sold hundreds of millions of copies, made DLC's and critics loved this game, everyone did, (except the minority of losers who think we still live in the 90's, yes i'm pointing at you interplay lovers, grow up already grow some balls and flow with the time). I'm sure that as soon as the cash starting overflowing in beths wallet, interplay screwed them over by halting the production of the MMO to piss off Beth. I mean seriously 4 years. Interplay lovers instead of worrying about how different the new games are, sit down, shut up and play instead of living in the past, good god.

  • Interplay supporters mark my words, IF though very unlikely, but still IF Interplay gains the full rights to fallout expect the MMO to come out sometime in 2015 and expect it to be a very shitty MMO or more likely they will just cancel it and start on another "epic dream project" oh yeah right like thats going to happen. Bethesda deserves this game, they turned a awesome game into a potential legacy, I can bet you if you walked downed the street and asked a random person about fallout 3, 9 out of 10 people will say it is a excellent to perfect game, again walk down the street and ask a person about fallout 1 or 2, expect around 3 out of 10 people to say how rad the game was (back in the day) and the rest of the people will stare at you like they have no idea what you are talking about. Bethesda turned a good game into a legacy, expect bethesda to win the rights and screw interplay big time. I'm rooting for you bethesda along with all of the other supporters, interplay can drop dead and beg Bethesda for awesome advice.

  • I see a lot of people defending Interplay here. Let's look at facts. First off, Interplay has failed for years to bring out new Fallout. Prior to Bethesda, Interplay wanted to bring out Fallout 3 or the Van Buren Project. That died in the water. Then the franchise sat dead for years until Bethesda came along. When Bethesda purchased the franchise IP, Interplay maintained that they wanted to to create Fallout Online. This was in 2007. Now, it's 2011 and we still have no fallout Online. I'm seeing a pattern here with Interplay and it just isn't with the fallout franchise. back in the day, Interplay was notorious for long development times, cancelled projects and generally screwing over gamers. If any of us want to ever see a good future for the Fallout Franchise, Interplay needs to lose this case or we can kiss Fallout goodbye, again. I'm sure most of you original fallout fans out there remember when it was announced that Van Buren was cancelled. Interplay was on the shit list then. And in regards to Interplay being preyed upon, I think Bethesda was more than patient with Interplay. Giving a company two years to secure pre-production assets and funding, especially when the SEC fillings were already approved, is very generous. It goes to show you that Interplay says they want to continue the fallout property but can't do it financially and they don't have the same ethic to their fans like Bethesda does.

  • I hate how bigger companies like Bethesda always prey on smaller indie companies like Interplay, and I hope that Interplay wins the case. The only problem that I have is that I hate MMO's. I'm not trying to troll or anything, it's just that monthly fee that always gets to me. My parents can barely pay off our taxes, let alone pay a hefty monthly fee for each character I make. I know that it's not about me and plenty of other people can afford to pay it, but I hate hate idea of constantly paying for a game. Isn't buying it enough? Idk that's just my opinion.

    • You are an idiot. Bethesda is a privately owned company. And Interplay is not indie. Interplay is a publicly owned company that suffered from bankruptcy. So if anything Bethesda is the indie company and not Interplay.

  • in my opinion innterplay fails to hold up there end of the bargon so bethesda has every right to pull the plug they were supposedly supposed to have so much funding and backing but ended up in the hole it went from seing a profit to just being a money hole and honestly i think the mmo would ruin the fallout expierience for me in the first place ive been a fan since fallout 1 loved fallout 3 and nv it was good more atune to 1 and 2 then 3 but 3 kept more of a striving for life feel nv more of a progress in humanity except for the cowboy crap i hate that again this is all my opinion

    Why would the agreement define what Interplay can no longer use if they don't meet the production goals if they never had the right to use it in the first place?

    Bethesda is simply putting time and financial pressures on Interplay in the hopes that Interplay will fail...again. They will keep doing this because they have gotten greedy. Interplay's failure would then allow Bethesda to scoop up the Fallout MMO Franchise.

    It's underhanded and violates the spirit of their agreement. And I am fairly certain the Fallout fanbase, aware of this, would be highly reluctant to play a Fallout MMO created by Bethesda if the rights to produce it were acquired using such unethical practices.

    • Although you call it greed, it isn't. Interplay signed a certain contract, it needed to have a certain amount of money set up to do this project. Interplay wasn't able to come up with it, BOO FUCKING HOO.

      A time limit and a monetary goal was set into contract so that Interplay doesn't take forever with this, fuck the lore up even more (because lets face it 2 companies working on the same lore = broken) and then have to change it, which will take longer again because Bethesda will keep popping out Fallouts like its there job (o wait it is because who doesn't like stock prices going up?)

      Love it or hate it, Interplay will lose this and that is a guarantee. Bethesda will make the Fallout MMO but why are we even worrying about this? WoW will destroy it like it destroyed Age of Conan, Ultima, and that Warhammer game.

      Interplay's Fallout Franchise was healthy and very profitable LONG before they got involved with Bethesda. They won't have any trouble making a profitable MMO based on the Fallout Universe.

    • @ third Anon, yes interplay had a healthy franchise, but until Betheseda Bailed them out they were a couple million in debt and were on the verge of totally dissolving.

  • I think its a bunch of bull. Bethesda makes an awsome fallout game, even though the new New Vegas DLC could use some help.

    • seriously? Bethesda's fallout game sucked. It had no real story to it, a crappy engine, and they broke SPECIAL which was one of the best rpg systems i have ever used. New Vegas was made by Obsidian who at least gave the game and engaging story and tried to actually challenge gamers. While Interplay is not necessarily the best hope for fallout anything is better than Bethesda. At least if Interplay got it back they could sell it to a company that actually understands what an rpg is all about.

      Bethesda has realized that Interplay might actually be able to release the MMO and keep the MMO rights. Bethesda knows how profitable a Fallout MMO could be. They have been, and are continuing to use underhanded tactice and contract loopholes to bog Interplay down in litigation with hopes it will cause the Fallout MMO production to fail. Then Bethesda can own it ALL.

    when they say they are going to make a game, they are going to make the game. They are rpetty serious about that.

    its a strange strange franchise, but that why i like it so much. If you get bored with the world of the games, just read up on the backstory of the games. There is just as much to know and be confused about.

  • I just hope obsidian makes Fallout from now on. I'm glad New Vegas was not a mutilated version of Fallout.

    • new vegas was good, but extremly buggy that was evil, while fallout 3's bugs were awesome, like that barter glitch.

    • I find it funny that people completely ignore the FLAWS of Obsidian's NV. The items that obsidian created (not re-skinned) are completely obtuse. None of the new items created by obsidian have proper shapes, the item almost always extends beyond the animated area of itself. There is no excuse for this except that Obsidian got lazy when creating items. Try this experiment if you would like to see what I mean: drop an item originally made by Bethesda for FO:3 (ex - plasma rifles, laser pistols or any other item in FO:3), now drop an item that was created by Obsidian (ex - 12.7 mm pistol, 9 mm pistol, Thermic Lance, Automatic Rifle) now move them around against objects or walls and you will see what I mean, most obsidian-made objects extend beyond their own visible graphics. At least Bethesda took the time to create objects within the actual skin they put on them instead of half-assing it (like Obsidian.)

    • oh boo-fucking-hoo who the fuck is that causing a problem for, look at the rest of the game: the weapons, the scenery, the story, the characters, and all you are talking about are some non-exploitable glitches that don't really get in the way of the game's major parts and will probably get fixed in patches. now go play some fallout 3 and stop complaining, im gonna go play new vegas.

    • Wow, that is terrible. Again, I hope Bethesda wins all rights to the fallout genre. -_- The fact is Bethesda makes some AMAZING RPGs for the Xbox 360 and perfectly adapted the Fallout universe to the platform.

      In reference to the comments below; Corporations supply not only your music and video games. Your food, drink, electricity, heat, clothes, and shelter were all provided by corporations. So please, quityourbitchin.

  • I think that A fallout MMO is awsome as long as it stays "Falloutey" no Magical melee Attacks where when you hit someone lights fly every where and your Guy dose a Double back flip(or other non canon things) or a Storyline about destiny or Frindship.

  • The best thing about Bethesdas latest flawed arguement is they say Interplay licensed the right to only the word fallout but no content.

    If this were the case then Interplay could make a hardcore porn game and market this shit out of it as Fallout Porn or what ever terrible game you can think of.

    Of course Inteplays lawyer spells it out pretty clear using the contracts to back his case.

    • Ended in 2000, began when EA start this whole mess of game corporation, just look what have they done to Bioware

    • It ended a lot earlier than that. Its the cycle of things. New media gets started off by enthusiasts, eventually the money-men take notice and try and work out a way of making money from it (except in the recording industry, where they try to ban it, fail, and then try to make money out of it).

      It happened with the Printed word, Radio, Cinema, the Web. and it happened to games earlier than we probably realise.

  • I honestly do not understand why people are so against an open world online rpg based on Fallout. This is the first I've heard of the idea and it sounds amazing, the number one thing I've always thought fallout lacked (or any rpg made by bethesda for that matter) was multiplayer. Bethesda rpgs are mind blowing and really give the feel of truly living in the worlds they create. That being said, I suppose that I wouldn't mind if Bethesda won the rights to the franchise entirely.

    • Bethesda RPG's aren't even real RPG's, they're make pretend you actually have an effect on the world while in reality all you do is VATS everything and do some FED EX quests until you can increase some inate character stats which have virtually zero effect on how you'll progress throughout the linear storyline full of "evil angry guys out to kill you and everyone not evil" and "good defending guys desperately and critically needing your help at this exact moment" for some reason seemingly written by a twelve year old.
